Position Overview
The Director, Corporate Development will be the primary leader of the M&A function for PSAV, a $2.0 billion industry leader with a history of executing multiple transactions annually for the last five years. The candidate will serve in a highly visible role shaping the strategy and executing acquisitions that have a direct and meaningful impact on the Company’s future. While the Company has been, and will continue to be, an active acquirer in its core competencies, there are a broad range of additional adjacencies and new geographies under consideration that represent meaningful opportunities for the platform.
The candidate will play a critical role influencing the Company’s strategic direction by identifying new opportunities and evaluating targets in partnership with the Treasurer/Head of Corporate Development, the CFO, the CEO, other members of management and members of the board of directors. The individual will be responsible for all aspects of the M&A process and support a variety of ad hoc cross functional analyses related to strategic initiatives. In addition, the candidate will be exposed to and support treasury, investor relations and general accounting functions.
The ideal candidate will have spent five to 10 years in investment banking, private equity, or corporate development obtaining meaningful transaction, modeling, analytical and strategy experience. PSAV is looking for individuals who are intellectually curious, highly motivated, possess strong written and verbal communication skills, comfortable being flexible and adapting to the evolving needs of the organization. It is essential that the Director be able to quickly establish rapport, credibility, trust, and respect throughout the organization at all levels and with external parties, and be viewed as a team player with strong judgment on M&A execution to ensure long-term success for PSAV.
This dynamic opportunity will provide the candidate an opportunity to have a significant impact shaping the Company’s future while gaining substantial deal experience in a leadership role and hone corporate finance skills on a dynamic platform with many possibilities to further their long term career goals. The position will report to the Treasurer/Head of Corporate Development.
Key Job Responsibilities
M&A/Strategy
• Collaborate with senior leadership to refine the acquisition strategy, including developing the target outreach program.
• Be a strategic and M&A thought leader, applying a thorough understanding of PSAV’s strategy, financials and competitive landscape while leading M&A activity and deal execution, including pipeline, due diligence, valuation, and negotiations.
• Author and communicate presentations which capture and convey key information, including the business case, synergies, benefits, and risks, for purposes of decision making on strategic opportunities and initiatives by executive leadership and the board of directors.
• Participate in and develop materials for monthly Investment Committee meetings with the CEO, COO, CFO, General Counsel and members of the board, along with content for quarterly board meetings.
• Analyze third party diligence and support issue identification/resolution along with synergy potential.
• Integrate acquisitions into the long range model for internal and external consumption.
Treasury/Investor Relations
• Work directly with the Treasurer and key management including the CEO and CFO to develop strategic and tactical corporate communications, and help establish consistent business messages and themes for all external stakeholder communications.
• Maintain the Company’s complex long range model.
• Support capital raising activities, including bank diligence, transaction structuring and other analyses.
• Develop a thorough understanding of the financial models and assumptions utilized by investors and credit rating agency analysts to evaluate the Company's performance, its industry and competitors; utilize this knowledge to help increase the effectiveness of the Company's communications to key stakeholders including the board of directors, banks, debt investors, and credit rating agencies.
• Support executive-level KPI development and reporting; continually refine process and reporting to deliver actionable information across all levels of the organization.
General Accounting
• Lead strategic projects across the finance organization, assist in the annual strategic planning process, and participate in the review of financial policy and the capital raising process.
Required Experience:
Job Qualifications
• Bachelor's Degree and at least five years of experience primarily in a quantitative or analytical role; MBA a plus.
• The ideal candidate will have the majority of their experience in investment banking, private equity, corporate development, or similar roles with substantial modeling, financial analysis and transaction exposure; Experience in technology or services industries are a plus
• At least four years’ experience in building, operating and presenting complex multi-scenario financial models along with analyzing third party diligence and/or financial statements.
• Strategic and analytical thinker, creativity in problem solving and strong influencing skills with an ability to dig into the details to interpret the key business drivers.
• Successful track record collaborating with multiple constituencies and developing analysts.
• Possess the ability to quickly synthesize complex information, structure a concise, clear presentation, and drive acquisition strategy and deal execution.
• Excellent project management skills, ability to multi-task in a fast-paced environment.
• Self-starter with passion, energy, creativity and enthusiasm for doing deals, along with the ability to exercise independent judgment in support of the Company vision and strategy.
• Executive presence, with demonstrated strong written and verbal communication skills, including higher level, well organized and persuasive corporate presentations and group facilitation abilities.
• Ability and willingness to travel, to work evenings and occasional weekends as needed when executing transactions.
• Expert knowledge of Excel and PowerPoint.
