Ocwen’s legal department supports a broad range of business groups in a constantly changing and growing area. As a public company filing with the SEC and traded on the NYSE, Ocwen has a strong commitment to best practices in corporate governance. Our legal department is comprised of highly-experienced leaders that excel in today’s dynamic work environment. Our 100+ person legal department is seeking a high-energy, fast-paced individual with experience in corporate governance, securities and corporate finance.
This position reports directly to the Deputy General Counsel and is responsible for providing corporate secretarial support with respect to corporate governance and risk management. This position will be based in our West Palm Beach, Florida location. Relocation assistance may be provided.
Responsibilities:
• Help drive corporate governance initiatives and best practices in risk management in the legal and risk departments.
• Prepare corporate resolutions, board and committee minutes, secretary’s certificates and related transactional and financing back-up materials.
• Assist with SEC filings, including initial preparation of Section 16 filings, and NYSE reporting.
• Maintain a complex corporate structure, including qualifications to do business, annual reports and other filings with state and foreign regulators
• Form and dissolve entities, including non-US entities.
• Assist with the administration of Ocwen’s equity plans.
Qualifications
• The candidate must have the maturity and gravitas to interact with senior management and directors.
• The candidate must have strong verbal and written communication skills, the ability to maintain a high rate of accuracy and production under deadlines in a fast-paced environment.
