Macquarie Capital provides advisory and capital raising services to corporate and government clients involved in public mergers and acquisitions, private treaty acquisitions and divestments, debt and equity fund raising and corporate restructuring. The primary purpose of the role is to be the U.S. Renewables day-to-day commercial and technical lead contributing input during the due diligence/underwriting process and leading asset management of new and existing development and construction-stage investments in which Macquarie Capital is the primary principal investor or stakeholder. You will be expected to identify and anticipate concerns in each investment at an early stage and be able to work with the Deal Leads and key partners and stakeholders to find solutions as well as opportunities to create greater value for Macquarie Capital and its partner(s). He or she will be primarily responsible for providing commercial advice to the Deal Lead on the deal structure and agreement terms considering investment/partner management, governance, and administration of the key project agreements from initial investment through to final Macquarie Capital and/or partner financial exit. This central position requires a candidate with a strong commercial and technical profile, a successful track record of managing large scale, and complex development and construction-stage projects with a continual view towards the financing and sell-down processes.
Responsibilities
• Participation in pre-investment deal structuring and investment agreement terms to ensure appropriate reporting structure and tracking plan/resources
• Assist in the negotiation of and manage and oversee all key project agreements
• Manage the creation, populating and updating of lender and investor data rooms
• Evaluate, price and place insurance coverage
• Manage and monitor SPV/Construction management provider
• Prepare construction and development progress reports and operational performance reports, if applicable based on reporting provided by partner/SPV.
• Prepare Board reporting materials communicating development progress, construction progress and operational performance, as applicable
• Responsible for the technical, project development and construction risk evaluation and advising on mitigants/management for complex, large scale project investments
• Provide on-going advice to the MacCap deal team on technical, development, construction and key agreement management as well as direct liaison with clients, developers and partners, as required.
• Responsible for managing third party providers of technical reports and due diligence
• Assist Deal Lead on implementing strategic decisions with the project development partner
• Regular reporting to the Investment Committee and senior management of Macquarie Capital in relation to the underlying technical aspects, commercial arrangements and progress of Macquarie Capital’s investments in the Americas with a strong focus on U.S. renewable energy projects.
• Actively support Macquarie Capital deal team in raising debt for the projects, including development and communicating presentations/reports and technical advice and support for investors and project company SPV partners.
• As required hold directorships on behalf of Macquarie Capital in SPV companies in which Macquarie Capital is an equity investor.
Essential experience
• Project finance knowledge and experience in a project development and construction environment required
• Demonstrable experience of working on U.S. Renewable Energy projects from development through to COD, Latin America region experience a plus
• Past experience in the appraisal / operational management of various renewable energy technologies including wind, solar, hydro and energy storage
• Demonstrable understanding of investor technical, development, commercial due diligence requirements
• Successful track record leading and managing complex and large projects
• Commercial and technical risk management
• Experience working with JVs and Partners
• Solid project management experience on successful complex development and construction projects
• Experience negotiating and prosecuting key commercial contracts
