M&A Director
Mergers & Acquisitions (M&A) Director – Cambridge, Massachusetts
Philips is seeking to expand our M&A team in Cambridge to support our inorganic growth strategy as we continue to transform and focus our businesses, as a global leader in Health Technology. This is an opportunity to be part of a small, but important team supporting our healthcare-focused transactions.
This role will directly report to the Head of M&A for Philips Health Systems businesses, supported by a small team of managers and associates, to ensure successful execution of inorganic transactions. This role will have high exposure to senior business and market leaders across Philips, and will work closely with our strategy and post-merger integration teams. Core responsibility includes leading and seeing M&A projects through from sourcing to negotiation to diligence to closure; thus furthering Philips’inorganic ambitions through strong leadership and advisory skills of the M&A Director.
You are responsible for
• Leading various strategy, business development and M&A projects, including the following key elements:
◦ complex forecasting
◦ valuation analyses
◦ detailed company due diligence
◦ transaction structuring (alliance, JV, acquisition, divestiture)
◦ private/venture capital investments
◦ debt/equity investments
◦ strategy and competitive analyses
• Coordinating legal documentation, including coordinating contracts and closing transactions
• Influencing and advising senior business and market leadership within Philips on inorganic strategy and deal decisions
• Advising and challenging deal rationale, financial projections and financial implications
• Preparing negotiation strategy and taking a leadership role in negotiations with target sellers or their advisors
• Leading and managing target sourcing, prioritization and execution of inorganic transactions for selected Philips businesses
You are a part of
The global deal team of Philips comprised of ~20 team members, responsible for the entire execution process of various deals (buy- and sell-side, joint ventures, minority equity investments; large, midsize and smaller tuck-in deals). You will be part of the small deal team in Cambridge, Massachusetts, with additional colleagues based in Amsterdam (Netherlands) and Shanghai (China).
To succeed in this role, you should have the following skills and experience
• Broad experience across the healthcare industry required. This could include experience with imaging devices and systems, image-guided therapy devices, acute care medical technologies, diagnostics, and/or healthcare IT/software
• Industry network and relationships with key constituents in the industry, including venture capital firms and emerging growth companies
• Entrepreneurial drive and proven track record of influencing and advising leadership teams
• 4+ years of investment banking experience, preferably with bulge bracket US/EU focused firm, with focus on healthcare M&A and debt / equity capital markets, and experience in leading / executing on multiple acquisitions, minority investments and divestiture transactions
• MBA preferred
• Undergraduate focus on technology preferred
