Position Overview:
This position is responsible for analyzing, valuing, and price potential acquisitions, mergers and divestiture opportunities.
Principal Duties and Responsibilities (Essential Functions**):
• Quantify the following key issues that may affect CenturyLink's ability to successfully acquire targeted companies: risk analysis, synergy identification, acquisition pricing, forecasting impacts on CenturyLink's corporate and financial performance, purchase structure decisions (stock vs. asset purchase, tax deferred vs. taxable transaction), form of consideration (cash vs. stock), and related financing (debt vs. equity)
• Lead due diligence investigations and valuation of M&A Targets. This involves leading and coordination a large team of internal resources across multiple organizational units and sometime it involves coordinating with external advisors
• Manage the diligence process by developing an initial list of diligence requests at the outset of a process and draft additional requests as needed.
• Develop and maintain diligence requests related to target companies or divestiture opportunities. Work with internal business units to ensure all request are submitted, tracked and met in a timely fashion. Work with the target's representation to ensure all request are submitted, acknowledged, responded to and tracked to ensure that all data required to make the proper business decision is acquired and the diligence process is successfully completed.
• Maintain awareness of CenturyLink's operations, adjacent industry, technological, economic, environmental and competitive situations that may influence the current and future inorganic strategy.
• Develop and maintain valuation models, tools and methods that ensure that all opportunities are accurate and timely valuated.
• Update and maintain CenturyLink’s consolidated long range projection model. Work closely with Treasury and Finance to ensure data used to forecast CenturyLink’s financial position after an acquisition or combination is accurate, current and in agreement with Company long range growth plans.
• Develop business plans for the launch of new products and services, joint ventures, and entry into new lines of business.
• Monitor financial and operational results of acquired companies against valuation assumptions and projected performance standards. Track and report synergy results and achievement and compare those results to expected results.
• Valuation of past acquisitions to measure acquisition success, or impairment.
• Assist in the valuation and purchases of CenturyLink's minority stockholders and partnership holdings.
• Prepare research reports, presentations, profiles and industry landscapes for competitors, target companies, new products, company specific prospects and industry specific prospects to assist CenturyLink's executive team with making decisions about the company’s current and future inorganic strategy.
Qualifications & Skills:
Required
Bachelor’s degree with 6+ years’ experience in Financial Analysis and Mergers and Acquisitions
Preferred
Master’s Degree with 6+ years’ experience in Financial Analysis and Mergers and Acquisitions
