Role Summary
Within the scope of executive compensation and equity administration, this role will be primarily responsible for the management and administration of: long term incentives, deferred compensation and equity programs, and executive perquisite offerings. Also, responsible for managing vendor relationships related to these programs as well as other compensation initiatives as part of the global Total Rewards Team.
Key Responsibilities
• Participate in the design and manage the implementation and administration of executive compensation programs for senior managers and executives. Programs may include base pay review and analysis, short- and long-term incentive plan design and equity plan design.
• Preparing materials for Compensation Committee meetings
• Manage the third-party vendor which administers our long-term incentive programs for employees and non-executive directors.
• Manage processes and act as the subject matter expert to ensure effective coordination of all activities between payroll, HRIS, accounting, treasury, legal and the vendor for all grant and vesting events.
• Establish and maintain Executive job descriptions, job grading structure and salary ranges consistent with the needs of the company and competitive practices. Evaluate executive level jobs, to determine appropriate pay levels
• Actively supports M&A activity, internal audits, risk assessments, legal matters, and the understanding of market practices. Manage the internal processes and report preparation leading up to Compensation Committee meetings. Develop communication materials and supporting analysis for presentations to the Compensation Committee and senior executives
• Create benchmarking exhibits of executive officer pay levels
• Track competitor earnings, proxy filing dates, and research competitor proxy statements to keep up with compensation structures and changes. Prepare executive compensation tables and associated language to be included in the annual proxy statement
• Manage the annual executive pay reviews including merit, bonus and long-term incentive recommendations
• Participate in executive compensation salary surveys
• Performs other duties as assigned
Qualifications/Experience
• Bachelor's degree Finance, Human Resources, Business or related field or equivalent experience
• Seven to ten (7+) years or more experience in Executive Compensation and Broad-based Compensation
• Seven to ten (7+) years or more experience creating and managing compensation programs including but not limited to: base salaries, bonus programs, equity and executive compensation in a public company
• Excellent base Compensation skills, including analysis, competitive pricing, structure development, legal and regulatory compliance
• Productivity/Ability to think strategically and understand business planning. Track record which demonstrates strategic business partnership. The ability to assess and understand business needs of the leadership team in a proactive, responsive and supportive manner
• Excellent collaboration and team building skills
• Demonstrates analytical skills
• High integrity and ethics in handling confidential information
• Current knowledge of applicable Federal and State laws and regulations as they apply to general and executive compensation
• MS applications including Outlook, Word, and PowerPoint (advanced level)
• Certified Equity Professional (CEP) preferred
• Certified Compensation Professional (CCP) preferred
