We are in search of a VP, Compliance for Rakuten, the parent company of Viki Inc. The Rakuten USA, Inc. Compliance Department is a newly created corporate function for the Rakuten Group companies operating in the Americas region. The department will be responsible for the provision of compliance services to the Rakuten USA portfolio of companies which includes Ebates, Rakuten Marketing and Rakuten.com. This role will be based in San Mateo, California.
The VP, Compliance will lead the development, implementation and maintenance of the Rakuten USA, Inc. Compliance Management Program designed to ensure Rakuten’s commitment to risk management and compliance with applicable Rakuten guidelines and policies, applicable laws, rules and regulations. This role will require regular consultation with the various compliance managers (where they exist) of the Rakuten businesses to implement, revise, execute and monitor policies and procedures to ensure compliance with the Compliance Management Program. In addition, this role will ensure the compliance with laws and application of industry best practices across the multiple platforms on which the Rakuten USA portfolio of companies distribute their products and services. This role reports directly to the President of Rakuten USA, Inc. with dual reporting to the Rakuten Group CCO, located in Japan. Essential duties and responsibilities may include, but are not limited to:
• Lead and facilitate the identification, measurement and reporting of enterprise risks through a collaborative and comprehensive risk assessment process
• Coordinate with the various operational groups within Rakuten USA, including the Legal, Finance, Group Regulations and Information Security Departments, to ensure compliance with laws and internal and external rules and regulations applicable to the operation of the Rakuten USA portfolio of companies, including the Rakuten Guidelines and Regulations (RGR)
• Oversee advertising and marketing compliance, both our own and that of our large network of third party marketers. This includes front-end guidance and approvals as well as ongoing compliance monitoring, coordination and collaboration with the business teams on compliance issues and managing process and record-keeping
• Manage product compliance and new product review, with respect to contracts, platform rules and industry guidelines
• Ensure vendor compliance with contractual and legal obligations
• Manage compliance of third-party call center that offers paid technical support services
• Ensure consistent application of the guidelines and manage compliance risk in partnership with the business and legal teams
• Participate in periodic calls with compliance and operations teams
• Build and maintain collaborative relationships with business teams and third party partners
• Review and evaluate the impacts of new and revised rules and regulations on the Rakuten businesses and report as appropriate
• Ensure appropriate policies are drafted and implemented as appropriate to address identified risks
• Develop written process and practices guidelines for the business teams and partners and providing training as needed
• Provide weekly reporting to the Group CCO, General Counsel and business leaders on team workload metrics, effectiveness and key issues
• Coach, mentor and develop one direct report to achieve the goals of the Compliance Department
The Head of Compliance will also work with the legal department to identify and take on other compliance functions. These may include data privacy, customer complaints and FTC regulations and guidance.
Qualifications
• Bachelor’s Degree in legal education/training or related field
• Experience managing a team within a legal or compliance division
• 10+ years experience within a legal or compliance division of an internet, digital media or software company focused on compliance-related issues (regulatory and contractual)
• Strong interest in being hands-on and working side-by-side with Product, Engineering, Sales and Design teams
• Experience working independently in a highly decentralized and hands-on organization with the ability to resourcefully innovate and adapt in a rapidly changing, fast paced and highly complex environment
