What You'll Do
Will work with departmental associates to review, draft and negotiate complex terms and conditions for Third-Party Provider contracts, in coordination with Corporate Legal, Risk Operations, Compliance, and Information Security Departments; document all Third-Party Provider contracts in the Corporate Contracts System; manage the lifecycle of the Third-Party Provider contracts and work with Line Finance and associated business unit to budget and track ongoing software license, maintenance, support, subscriptions and other Third-Party contract commitments.
Work alone and with other departmental Associates to negotiate contractual terms and conditions with Third-Party Providers; coordinate and participate in meetings and conferences pertaining to resolution of contract issues with the Legal, Risk Operations, Compliance and Information Security Departments.
-Provide analysis of complex contractual, regulatory, risk and intellectual property issues associated with Third-Party Provider contracts and engagements. Perform vendor research as needed to support company initiatives and engagements.
-Work with the Legal Department and Contracts Administration Department to ensure familiarity with, and consistent and appropriate use of, Corporate Legal-approved Third-Party Provider contracts and contract templates.
-Log in all incoming engagement requests from Key Business Stakeholders, ensure assignments are made to the appropriate associate and manage and monitor the tracking process from inception through completion.
-Analyze incoming engagement requests to determine what Third-Party Provider contracts are currently in place and what additional Third-Party Provider contracts need to be initiated. Work with Corporate Legal, Risk Operations, Compliance, and Information Security as needed to ensure negotiated Third-Party Provider contracts adhere to UMB corporate policies and procedures. Assist UMB end users in the Third Party Risk Review Process.
-Work with end users, OE and Corporate Legal to ensure that all Vendor-provided resources are properly categorized and supported by the appropriate Third-Party Provider contract language and templates.
-Develop, issue and manage the request for proposal (RFP) process as needed to support the sourcing of software, hardware and services etc for example UMB Governance Projects.
-Manage the contract life cycle, including entering all Third-Party Provider contracts into the Corporate Contracts System, including original agreements, amendments, terminations and renewals, negotiating legal issues as appropriate.
-Analyze and coordinate the management of all Third-Party Provider software, hardware, subscription and support contracts; work on and assist Departmental Associates in ensuring renewals are monitored and aggressively negotiated to achieve maximum cost reductions; work with Line Finance and Departmental managers to ensure proper budgeting. Provide reporting and analysis to Senior Leadership.
-Understand and follow purchase order and invoice processing procedures and assist Departmental Associates with invoice processing. Work with Line Finance and Corporate Accounting to ensure proper accruals of unpaid invoices.
-Other duties as assigned.
Who You Are
-Bachelor's degree in business
-4 years related experience working with contracts and legal issues, preferably in financial services industry OR
-High school degree and at least 8 years related experience

Monday-Friday: 8:00am-5:00pm
