Team Overview
The HR Mergers & Acquisitions team helps execute strategically relevant and financially sound transactions that supplement growth and optimize the company’s capital through acquisitions, divestitures, and joint ventures. The HR M&A team provides strategic leadership and delivery of HR due diligence, integration planning and execution for acquisitions, and HR structuring and implementation for divestitures, JVs and other corporate transactions. The key responsibilities of the team are:
Leading the HR aspects of deal activity at American Express
• Assembling the appropriate HR team with delegates from various functions: compensation, benefits, employment law (internal and external), employee relations, global mobility, and HR business partners from the business and appropriate geographies
• Collecting, managing and tracking of HR data requests and responses
• Representing HR work stream on cross-functional deal teams and surfacing people-related issues and business impact to corporate development and/or business teams
• Liaising with cross-functional M&A team members (e.g., tax, accounting, technology, legal, etc.)
• Synthesizing and presenting diligence findings and recommendations to HR leadership, deal team, and business leaders
Building M&A capability within American Express HR
• Supporting ongoing development of HR M&A capabilities, including building and delivering training for HR employees in preparation for deal activity
• Developing and continuously improving HR M&A infrastructure
• Working with HR functional experts
Job Responsibilities
Specifically, this position will focus on the Due Diligence side of HR M&A, the HR M&A Director will be responsible for:
• Understanding the deal strategy, structure, timing, and process as laid out by the corporate and/or business development teams and translating these requirements into project plans for the HR team
• Designing the talent retention strategy to drive business objectives for the target and driving internal and external stakeholder alignment on the proposed plans
• Providing project management leadership on multiple concurrent due diligence efforts, track progress and advise course correction
• Reviewing and providing input to draft legal agreements and ensuring that the HR agreements and structures are appropriately reflected in the final legal agreements
• Identifying, escalating, and monitoring liabilities, risks, issues and opportunities across transactions with support from HR SMEs
• Identifying lessons learned and process improvements to support continuous improvement and innovation
• Leading capability building efforts to complement the strategic priorities for HR M&A and business partners, and taking ownership of end-to-end delivery of such projects
• Participate in conferences and round table discussions with external HR M&A community to bring industry best practices and insights to the function
Qualifications
The ideal candidate for the HR M&A Due Diligence Director position will meet the following requirements:
• 8-10 + years successful track record in Corporate HR or HR consulting, experience in M&A preferred (diligence and/or integration)
• Experience in one or more of the following HR specialties: benefits, compensation, employment law, and HR business partner
• Experience working with global and virtual teams and ability to interface and collaborate with internal stakeholders, external targets and provide steer to external consultants for execution of deliverables
• Ability to think strategically to grasp key business drivers of an issue and determine strategic human capital implications and recommendations
• Ability to absorb and process large quantities of disparate information and synthesize quickly
• Demonstrated program management skills and comfortable working in an environment with tight deadlines, imperfect information, and ambiguity
• Ability to build trust, develop relationships, and influence
• Strong executive presence and effective communicator; should be comfortable to engage senior leadership and speak up with a point of view
• Self-starter with ability to work independently and as a larger part of a team and matrixed environment
• Proficient in PowerPoint, Word, and Excel
• Interest or experience working with legal documents
