Job Purpose:
The Corporate Services Supervisor will be responsible for the timely and accurate review of contracting, responding to TMF Group standards templates based on American Legislation with client and third parties. Legal support to other areas of the company, including regulatory compliance. The Corporate Service Supervisor will report directly to the CoSec Manager.
Key Responsibilities:
Supervise and coordinate the legal team supporting and providing technical and legal counselling;
Supervise Corporate Secretarial services to local Client Entities including, but not limited to Incorporation, Corporate Restructuring, filings and additional registrations with the different States
Provide advice, support as well as drafting and negotiating subcontracting agreements, partnership agreements or other cooperation
agreements.
Drafting and negotiating local and multi-national Clients contracts in line with TMF Group templates and policies
Maintaining relationship with sales, management, in house legal counsels and outside legal counsels with regard to local service agreement;
Development and implementing uniform general contract terms and conditions, contract templates etc.
Providing training to sales management and in-house legal counsels on uniform general contract terms and conditions,
contract templates etc. and also providing recycling training.
Ensure consistent contract management by following the internal approval/gateway procedures.
Participate on Pipeline: Operations and On boarding Capacity/Planning meetings;
Participate on Board Meetings and proper preparation of Board meetings, including meetings minute;
Participate on all kind of meetings that request legal advice;
Management of Compliance Processes from TMF’s clients;
Providing advice, support of processes and services in the Board of Trade and other Public Organs;
Key Competencies:
Knowledge of various legal and compliance topics, focuses on commercial contracting and international private law;
Knowledge in the corporate area (incorporation, merger and liquidation of companies), contracts and compliance;
Essential experience in the legal area in companies;
Understanding the business;
Leadership, team supervision, communication skills, conflict management, working well in teams, ability to influence;
Engages and builds credibility with influential individuals both internally and externally;
Ability to create your own network, both internally and externally;
Hands on, proactive, organized, committed, and know how to handle large workload.
Key Knowledge and Experience:
Experience with commercial contracting and corporate law;
Superior written and oral communication skills in English and Spanish. Portuguese desired.
Proficiency in Microsoft Word, Excel, PowerPoint and SharePoint.
Knowledge of database tools and ability to maintain information in database format.
Experience supporting senior management and geographically dispersed clients.
Excellent strategic and organizational skills, with the ability to follow through on numerous projects simultaneously under short deadlines.
Requires a minimum of 3 years of experience in a corporate legal department, law firm or corporate environment.
Ability to handle sensitive and confidential information appropriately.
