POSITION SUMMARY
The Corporate Strategy & Development (CS&D) group supports the long-term strategic goals of TIAA. CS&D is organized into three teams: Corporate Strategy and Strategic Planning, Strategic Consulting, and Corporate Development (M&A). The Corporate Development M&A team is responsible for creating a comprehensive corporate development strategy while quickly assessing, prioritizing, and establishing an approach for pursuing inorganic growth opportunities for the firm. CS&D seeks an experienced and accomplished M&A executive to join its Corporate Development team as a Managing Director. Other responsibilities, include, but are not limited to:
• Develop and apply appropriate methodologies for market segmentation and
sizing, drive market trend and competitive landscape analysis, client
portfolio analysis, business modeling, financial modeling, and operations
analysis
• Manage secondary research to analyze the marketplace to help senior
leaders understand the market opportunity and TIAA’s competitive position
(successes, challenges, opportunities, and risks), globally and by
geographic market, business, industry sector, and client segment, as
needed
• Execute corporate development plans including sourcing, evaluating,
negotiating and closing of mergers and acquisitions (M&A) targets.
• Architect and developer of TIAA’s strategic growth playbook to create a
successful and repeatable M&A process.
• Serves as the lead point of contact for cross-functional planning, due
diligence, and integration teams.
RESPONSIBILITIES
As the Managing Director, Corporate Development and M&A, you will provide advice and thought leadership for the implementation of mergers, acquisitions, disposals, joint ventures and related activities for the Corporate Development team while working cross-functionally across the entire deal lifecycle including: pre-deal analysis, the development of integration project plans and post-deal implementation. The Managing Director will also leads transaction management of broad cross-functional internal transaction team, including building and maintaining relationships with investment bankers and other external advisors. Additionally, this role is responsible for preparing executive-level presentations for the EC and Board members to garner approval and buy-in on new ventures and strategic deals. In addition, this role will have the opportunity to manage some of the planning, execution, separation, integration and organizational restructuring activities related to post merger initiatives. The successful candidate must possess the following critical competencies
CORE CAPABILITIES
Business / Financial Concepts: Practical experience with corporate strategy principles, financial statement analysis, financial modeling, managerial accounting, corporate finance, and project finance
Consulting Engagement Skills: Demonstrated professional experience with:
– Strategy and Analytical Frameworks (e.g. Porter’s 5 Forces, Value Chain,
Growth Models)
– Business Cases (e.g. strategic rationale, commercial / operational
assessments)
– Environmental Analysis (e.g. competitor landscape, customer segmentation,
voice of customer, product trends)
– Go-To-Market Strategies (e.g. target markets, sales force optimization,
channel strategies, pricing)
– Economic Analysis (e.g. market sizing, financial modeling, investments and
ROI, customer lifetime value)
– Statistical Analysis (e.g. survey design and interpretation, regression analysis)
– Operational Analysis (e.g. people, process, technology, product capabilities,
new product development)
– Implementation Planning (e.g. roadmaps, milestone planning,
interdependencies)
Communications: Substantial experience developing structured and logical presentations, presenting to senior executives, and leading/facilitating multi-party meetings; Excellent communication and presentation skills, with the ability to translate quantitative and qualitative analyses into clear messages for the targeted audience.

Required:
• MBA or other advanced degree
• 10+ years’ of progressive leadership roles in the financial services industry is
required
• 3+ years of experience managing leadership-level roles
Preferred:
• Ideal candidate will preferably have experience in asset management,
insurance, retail brokerage, retirement, banking or RIA settings leading or
driving M&A efforts
• Experience in a consulting firm or a corporate internal strategy group is
required, preferably doing financial services strategy development
• Finance-related certifications such as CFA or CIMA preferred.
