Description
Directs, develops and maintains TCF Financial Corporation’s investment communications program. Oversees the development, implementation and maintenance of relations and communications between the organization and its shareholders, the investment community, including financial analysts, institutional investors and the financial media.
Major Areas of Accountability
• Monitors trading activity and other stock related information and advises senior management regarding the development of policies and practices affecting investor relations. Responsible for periodic communication (weekly, monthly, quarterly, annually) and presentations to the Executive Management and Board of Directors that synthesizes information from the markets and distills themes in a digestible format.
• Develops and maintains procedures and policies for communicating information to the investment community on a controlled and consistent basis. Maintains familiarity and compliance with NYSE, SEC, OCC and other regulatory agencies' disclosure requirements.
• Develops strategies for investor meetings including attendance, audience, locations, frequency and presentation materials. Advises Executive Management on issues to be addressed and investor profiles. Supervises design of presentation materials, travel and meeting arrangements, and follow-up activities. Expected travel with Executive Management to meet with investors.
• Effectively develops, organizes and executes plans related to management of activist investors (threats or campaigns) and monitors related activity. Establishes policies and procedures to ensure that inquiries from shareholders and other individuals are handled in a timely and appropriate manner.
• Acts as liaison with outside organizations such as the Securities Exchange Commission (SEC) and National Association of Securities Dealers (NASD) to answer inquiries as necessary, as well as Rating Agencies (S&P, Moodys).
• Participates in the preparations of current, quarterly and annual reporting to the SEC, particularly on forms 8K, 10Q and 10K. Issues financial press releases and other financial media communications.
• Manages the preparation of the annual budget and goals for Investor/Shareholder Relations. Monitors performance against annual budget through the preparation and review of variance analysis. Analyzes budget expenses and recommends cost-effective programs. Prepares forecasts and projections, as appropriate.
• Effectively prepare Executive Management (CEO, CFO, COO, etc.) for interactions with investors through prep and ongoing monitoring materials (CRM-like in nature) and use technology where appropriate.
• Manage the CEO and other Executive Leaders in a way that it values their time and makes it possible for them to “do their day jobs” while participating in IR events.
• Effectively manage the department functions while meeting and adhering to corporate, legal, and regulatory policies, guidelines, and requirements regarding compliance. Work with the Compliance and Legal departments for overall updates, procedure changes or development, and resolution of issues.
• Monitors marketplace activity from peer banks or larger banks in order to incorporate their best practices into TCF’s IR strategies and to improve our ability to execute by learning from their mistakes.
• Researches and recommends to executive management, programs that enhance the liquidity of TCF stock. Executes approved programs in a timely and cost-effective manner and in accordance with legal requirements.
• Leads a team effort to develop effective annual reports, quarterly reports and other written communications to shareholders and the investment community.
• Responsible for personnel functions of the department, including staffing, promotional changes, training, performance evaluations, disciplinary action and other issues that arise.
• Participates in national industry conferences sponsored by investment firms. Develops presentation materials for executive management and arranges related investor meetings as appropriate.
Minimum Qualifications:
Education
Required:
• Bachelor's Degree in Business, Marketing, Public Relations, Finance or equivalent year of work experience.
Preferred:
• Master's Degree
Required Work Experience / Skills
• Minimum seven years investor/public relations experience
• Must identify appropriate financial audiences and structure marketing programs to meet the needs of those markets
• Must understand financial reports and operations of the company as well as corporate policies and financial objectives
• Must have the demonstrated ability to communicate verbally and in writing to professional money managers and stock analysts as well as individual stockholders.
• Strong leadership and managerial experience
Preferred Work Experience / Skills
• Previous financial services industry experience
• Professional accreditation or credentials for accreditation with NIRI (National Investor Relations Institute).
Supervisory Responsibilities
• Perform supervisory functions, including but not limited to, making employment decisions regarding hiring, promoting, demoting and terminating, conducting performance appraisals and coaching and developing staff.
