Barclays Corporate Secretariat
Barclays Corporate Secretariat provides support and company secretarial services to Barclays PLC and its Board, Board committees and subsidiary companies. It also has responsibility for setting and delivering the strategy for Barclays relationship with its private shareholders. The team is based at Barclays global headquarters in London.
Barclays Corporate Secretariat advises the Board and its Directors on their duties and obligations and corporate governance best practice, to ensure effective Board operation and promote Director effectiveness. The team promotes and facilitates market leading corporate governance for the Group and delivers innovative shareholder services. Role Purpose
A qualified and experienced Chartered Secretary (ACIS or equivalent), you will assist the Head of PLC & Group‑wide Governance in:
• ensuring that Barclays Group is an exemplar organisation in the field of corporate governance and keeps pace with the developing standards of best practice.
• supporting the Barclays PLC Board and Board committees, including drafting reports and papers mainly relating to corporate governance and listed company obligations.
• ensuring compliance with the UK Listing Rules, Disclosure Guidance and Transparency Rules and international requirements resulting from equity and debt listings in the UK and US, as well as wider regulatory compliance (including certain PRA/FCA requirements) and statutory compliance (e.g. UK Companies Acts and related legislation).
All Vice Presidents in the team share key accountabilities, with rotation of specific tasks and projects in order to provide breadth of experience.
Key Accountabilities
Corporate Governance (50%)
• Ensure that Group procedures meet and maintain best practice standards and expectations in relation to corporate governance, including reviewing and maintaining Group corporate governance documents (including Board and Committee terms of reference and delegated authorities) and ensuring appropriate and effective board governance arrangements across the Group (including setting standards for board and director evaluation).
• Advising on policies, standards and procedures for recruiting new directors and on-boarding new directors (including induction and training best practice).
• Providing best practice guidance to the Company Secretaries of significant Group subsidiaries to ensure that Group corporate governance policies, standards and procedures are followed.
• Drafting Board and Committee papers on corporate governance and other related issues.
• Reviewing relevant public consultation documents and drafting consultation responses on behalf of Barclays PLC, working closely with relevant departments/businesses across the Group.
• Corporate governance research and benchmarking, including assisting with the drafting of the annual corporate governance report.
• Drafting ad hoc reports/undertaking ad hoc research for the Company Secretary.
• Maintaining up to date knowledge of relevant corporate governance issues, including managing the preparation of a regular internal corporate governance newsletter.
• Advising on corporate governance best practice and the operation of relevant Group policies, e.g., Non‑Audit Services Policy.
Statutory/Regulatory Requirements (30%)
• Assistance with production of Barclays Annual Report and Accounts, Strategic Report and Interim Report, scoping, planning and delivering individual workstreams.
• Assistance with the verification and publication of Barclays full year Results, Interim Results and Trading Updates/Results Statements.
• Ensuring Listing/Disclosure Guidance and Transparency Rules compliance, including responsibility for the preparation of Stock Exchange announcements and advising relevant departments/businesses on the scope and application of the Rules.
• Developing, and maintaining compliance with, the Group’s Securities Dealing Code including ensuring that the register of Group Employee Insiders is maintained and advising Group Employee Insiders of their duties and obligations.
• Provision of advice and guidance to relevant departments/businesses on the scope and application of the UK Companies Acts.
• Ensuring statutory compliance for Barclays PLC, including maintenance of accurate statutory registers and timely filing of returns at Companies House.
• Developing, and maintaining compliance with, the Group’s Non-Audit Services Policy, including providing advice and guidance to relevant departments/businesses and ensuring that quarterly reports to the Board Audit Committee are prepared.
• Providing managerial oversight of the maintenance of accurate issued share capital records for Barclays PLC.
• Taking ownership of allocated sections of capital raising documents; to review, verify and sign-off within the timescales required by the businesses and acting as the liaison point in order to obtain required Board approvals.
Shareholder Meetings (10%)
• Assistance with the preparation and running of Barclays General Meetings, including the AGM. This may include production of Notice of Meeting, liaising with internal and external legal advisers and other interested parties as appropriate; and supporting the Group Company Secretary with engagement with shareholders on corporate governance matters.
People development and team leadership (10%)
• Provide input to the development and delivery of departmental and team objectives.
• Oversight and supervision of Assistant Vice President(s) and/or company secretarial trainee, including individual performance development (including professional training), objective setting and performance support in relation to the delivery of day-to-day tasks and projects.
• Managerial oversight of the maintenance of the team’s key policies and procedures, ensuring that all key documents are maintained, relevant and up to date.
Other tasks and projects as required
• Delivery of ad hoc tasks or participation in project teams as required.
Stakeholder Management and Leadership
• The role interacts with colleagues at all levels, which may include members of the Board. You will have the interpersonal skills to deliver authoritative, practical and clear advice to colleagues at all levels within Barclays and to develop effective working relationships with other professional and technical specialists and business areas, in particular other Functions (Investor Relations, Finance, Legal, Corporate Communications and HR).

Expertise

• Blueprint or similar company secretarial database.
• RNS Submit or similar Stock Exchange announcement service.
Academic and professional qualifications
• Good academic background, with a 2:1 or equivalent from university.
• As a minimum, Associate of the Institute of Chartered Secretaries & Administrators (ACIS) or equivalent.
Knowledge
• Knowledge of relevant legal and regulatory requirements, particularly the UK Companies Act (and related legislation), the UKLA’s Listing Rules and Disclosure Guidance and Transparency Rules.
• Knowledge of relevant corporate governance standards, e.g., the UK’s Corporate Governance Code, IA Guidelines and PLSA Corporate Governance Policy.
• Knowledge of Barclays (or equivalent company) policies on Securities Dealing and the Provision of Non‑Audit Services.
Experience
• PLC company secretarial experience gained within a UK listed company of substantial size and complexity.
• Proven people management skills, including delegation and motivation.
• Proven ability to lead small teams (including cross-functional teams) to deliver projects, driving performance and managing resources.
