THE POSITION
TH Real Estate is seeking an analytically strong individual with a strong background in commercial mortgage finance including experience in originating, structuring and syndicating senior fixed rate permanent and floating rate bridge loans as well as originating and structuring subordinate debt (mezzanine/B-Notes) on both stabilized and transitional/value-add assets. The candidate will work with the commercial mortgage origination team to validate marketability, pricing and structure of proposed debt transactions while having responsibility for successfully syndicating positions through selling down pari-parsu positions in senior notes, or selling senior notes and retaining subordinate paper on commercial real estate debt transactions, as well as purchasing participations in senior notes and within select senior/sub mezzanine transactions. Additional responsibilities may include securing and managing a credit facility to finance certain floating rate loans originated by the team. The right individual must have a strong command of real estate financial analysis, including Argus cash flow modeling and an understanding of capital markets, as well as solid critical thinking and communications skills, and a high degree of experience and strong depth of market contacts (commercial banks; investment banks; private high yield debt investors) to be successful. The position provides an opportunity to work in a high profile, dynamic and creative environment in an institution with a long history of commercial real estate investing.
This role will report to the Head of Originations and be integrated with our Commercial Mortgage Origination team across the US.
Responsibilities:
• The Senior Director/Capital Markets will work with the commercial mortgage origination team to validate marketability, pricing and structure of proposed debt transactions while having responsibility for syndicating positions through selling pari-parsu positions in senior notes, or selling senior notes and retaining subordinate paper on floating rate commercial real estate debt transactions.
• Purchasing participations in senior notes and within select senior/sub mezzanine transactions whether sourced by the candidate or through the origination team. All transactions sourced by the candidate will be evaluated, underwritten, and taken through the appropriate credit approval process by the origination team on the basis of geographic region.
• Securing, negotiating and managing a credit facility to finance certain floating rate loans originated by the team.
• Identify, develop and manage existing business relationships with direct deal sources, including other market participants with whom TIAA might participate in various participation, co-lending, and senior/subordinate structures (life companies, commercial banks, investment banks, and major “non-bank” lenders such as private debt funds), the broker community and knowledge-based relationships to advance network or business and information sources.
• Strong familiarity with all key structural and business issues and ability to effectively coordinate with legal counsel to generate and negotiate all key documentation including loan participation/co-lending agreements, inter-creditor agreements, etc.
• Creation of the marketing material necessary to present transactions to secondary market (with support of analyst)
• Assist in presentation of transactions, financings or holdings for review and approval to appropriate oversight committee.
• The Senior Director may supervise analyst and associate support
• Complete negotiation of all transaction/financing documentation
• Coordinate investment/financing process with Portfolio Management and other functional areas within the Company.
• Some travel is required.
Required
• BA degree in Finance, Real Estate or Economics (MBA, Masters in Real Estate preferred)
• A minimum of 15 years relevant loan syndication, structuring and capital markets experience, including directly originating and underwriting commercial mortgage loans in multiple markets and across asset types as the candidate will be expected to effectively communicate all elements of the credit, key underwriting issues, concerns and mitigants for transactions.
• Strong working knowledge and contacts among key financial institutions, investors and market participants involved in commercial real estate debt investing. Significant real estate capital markets experience.
• Significant knowledge of accounting and investment terminology and principles, and applies that knowledge with a significant amount of expertise.
• Superior negotiation skills and the ability to work effectively in a transactional environment on multiple transactions.
• Ability to think strategically and possess sound problem solving ability.
• Superior knowledge of real estate valuation principles
• Proficient in Argus, Excel and PowerPoint.
Desired
• Loan origination experience with strong contacts among major commercial mortgage banking intermediaries and sponsors
• MBA, MS Real Estate or CFA
• Strong financials/quantitative and critical thinking skills.
• Self-starter who is willing to work independently.
• Well organized and able to balance multiple and diverse priorities while delivering quality product.
