Description
The responsibilities of a Director for the Asset Backed Finance group (ABF) are to originate, structure and execute various secured lending facilities including securitization transactions and fund financing facilities while coordinating with junior staff on various transaction level requirements. Specifically:
Client Deal Origination & Execution: Originate, structure, and execute new client financings and amendments to existing asset backed facilities in coordination with related working parties including client relationship teams, rating agencies, law firms, other participating banks and internal control groups (Credit, Legal, Tax, Finance, Compliance as appropriate) to ensure the proposed transaction is executed within bank, market and ABF's standards. Negotiate and comment on legal documentation and develop structuring solutions suitable for the given client. Oversee the preparation of cash flow models to determine appropriate deal triggers, advance rates, and credit enhancement levels in accordance with prescribed criteria. Review and management of credit proposals and lead communication with internal control groups and external vendors to ensure transaction information is recorded correctly. Mentor junior staff throughout the deal process and provide oversight and support in the ongoing portfolio management responsibilities.
Transaction Management: Take a lead role to ensure assigned transaction coverage list adheres to target credit profile and risk standards of ABF. Lead due diligence reviews on assigned transactions and oversee preparation of due diligence reports. Review and finalization of external audit reports. Manage client transaction renewal and amendment processes including interaction with client and management of junior staff in connection with the preparation of credit proposals.
Market Analysis: Analyze asset backed industry and overall market trends. Remain up to date on changes to regulatory, accounting and legal guidelines that have an impact on the business. Analysis of credit trends, pricing trends and assessment of risk for specific assets classes within the context of the overall credit markets.
Portfolio Management & Reporting: Review portfolio management reports created by junior staff and manage process to ensure such reports are completely accurately and in a timely manner.
Qualifications
• 10+ years experience working in a client facing role within a securitization transaction team, with responsibilities for marketing and communicating regularly with external clients of the bank and building client relationships and strategies;
• Solid understanding of corporate banking business and its relation to securitization and structured financing solutions as well as the lending and credit approval process
• Understanding and experience working across asset classes and industries; experience structuring and executing subscription financing facilities and other esoteric asset classes a plus
• Demonstrated capacity to assume primary transactional coverage and responsibilities including experience working with rating agencies
• Ability to multi-task, strong planning, organization and analytical skills a must
• Aptitude to negotiate, review and understand complex financing documentation as well as create and analyze cash flow models and review and understand financial statements
• Act in a lead role on assigned transactional coverage while training and working with junior support staff to ensure their ongoing understanding of transactions, changes applicable to the market and ongoing internal requirements.
• Articulate in both written and oral communication
• High proficiency in the creation of financial models applicable to securitization transactions including the ability to think creatively to implement financings for relationship clients of the bank
• FINRA Series 79, 63 & 7 licenses required. On an exception basis, a 90 day contingency may be granted solely at management's discretion. Licenses are required to discuss and sell investment with potential or existing customers.
