Responsible for providing financial and strategic advice on a variety of issues including structuring and execution of complex cross-border takeovers, mergers, acquisitions, and disposal transactions both domestically and internationally for the Firm’s US and multinational corporate clients (both public and private). Manage all aspects of transactions in a fast-paced client-facing role, analyzing and evaluating economic and financial data, structuring and executing a wide range of complex transactions including acquisitions, divestitures, mergers, joint ventures, corporate restructurings, shareholder relations, recapitalizations, spin-offs, exchange offers, leveraged buyouts, and defenses against unsolicited takeover attempts. Conduct and supervise due diligence and draft and review marketing materials, such as confidential offering memoranda, management presentations and data information packages or equivalent for and on behalf of clients. Lead project and process coordination, including liaising with potential buyers, clients, clients’ legal counsel, other advisors, and team members from across the Firm including Global Capital Markets in order to provide clients with advice relating to potential transactions. Participate in negotiation activities with clients, clients’ legal counsel, other advisors and potential buyers or sellers and their advisors, as applicable. Supervise and oversee associates and analysts in the quantitative analysis of a range of financial data and the application of advanced principles of corporate finance, including financial valuation, mergers and acquisitions pro forma analysis and determining ideal capital structures for clients. Initiate new domestic and international banking relationships. Recruit, train, and mentor associates and analysts across the Firm’s investment banking group globally. Utilize market data tools including Bloomberg, ThomsonOne, and CapitalIQ.
Qualifications
REQUIREMENTS:
Requires a Master’s degree in Business Administration, Finance, Economics, Accounting, Mathematics, or related field of study and three (3) years of experience in the position offered or three (3) years of experience as an Analyst, Associate, or related occupation in Investment Banking. Employer will accept a Bachelor’s degree and six (6) years of experience in lieu of a Master’s degree and three (3) years of experience. Requires demonstrated experience providing financial and strategic advice to both public and private US and multinational corporate clients on the structuring and execution of complex cross-border takeovers, mergers, acquisitions, and disposal transactions both domestically and internationally. Experience executing strategic transactions for corporations, governments and financial institutions worldwide including acquisitions, divestitures, leveraged buyouts, shareholder relations and corporate defense assignments, debt and equity offerings and restructurings; liaising with clients and clients’ legal counsel to provide guidance on capital structure and merger impact analysis. Experience applying advanced principles of corporate finance to conduct detailed and comprehensive financial valuation analysis, and mergers and acquisitions pro forma analysis. Experience developing marketing materials including offering memoranda and management presentations. Experience organizing and participating in management presentations and coordinating due diligence activities. Experience supervising multiple teams of Associates and Analysts across internal industry coverage groups and geographies. Experience in understanding both global and regional M&A trends and able to present and articulate these to clients. Experience utilizing market data tools including Bloomberg, Thomson One, and CapitalIQ.
