Director, Value Realization & Merger Integration Office (IMO)
Department: Strategic Planning & Global PMO
Reports To: Vice President, Strategic Planning & Global PMO
Primary Location: East Rutherford, NJ
Secondary Location: New York, NY (As needed)
Scope:
Value Realization Office Scope of Work:
• Create a Global Center of Excellence to proactively identify, quantify, and track the realization of benefits used to justify the return on investment for tracking the value of the strategic projects.
◦ Identifies financial and non-financial benefits
◦ Identifies and tracks benefit triggers, dependencies, timing and expectations
• Create and manage the project financial planning cycle for Quarterly strategic scorecard meetings and 5 year IT roadmap and financial plans for all project work.
◦ Work with Global IT regions to gather the proposed projects and associated costs over the next 5 years.
◦ Work with FP&A and Division Leaders to prioritize project spend in the upcoming 1 to 2 years.
M&A Integration Management Office Scope of Work:
• Work with Michael Kors Holding Ltd (MKHL) Leadership to set the integration strategy, evaluate integration approaches, and coordinate enabling activities for the successful integration of future brands acquired by MKHL.
• Develop a “playbook” that aligns all MKHL Business teams on governance, pre- and post-close activities (first 100 days), and the plans throughout the transition (Days 101 to 720)
• Manage recurring interactions with internal functional teams, as well as integration teams within the target company.
• Track and escalate key updates, decisions and risks to the appropriate governing bodies, and communicating resolution to the functional integration teams.
Project Management Scope of Work:
• Manage the execution of strategic projects through effective use of business process optimization and project management methodologies.
Responsibilities: (Percent responsibility driven by Non MIO | MIO Activities)
• Value Realization Office (IMO) – 25% | 20%
◦ Partners with FP&A to validate models, assumptions, and calculations of expected financial benefits.
◦ Collaborates with initiative leads to generate regular and ad hoc analytics for all initiatives.
◦ Audits and evaluates systems and procedures effectiveness and ensures the consistent application of accounting policies.
◦ Assists in strategic and tactical operational plans to ensure achievement of company and departmental goals
◦ Provides actionable analysis to drive decision making, accounting for complex inter-dependencies and scope/quality management
• M&A Integration Management Office (IMO) – 25% | 70%
◦ Define the IMO structure, roles and governance across functional integration teams
◦ Manage the Integration Management Office (IMO), the governance body responsible for coordinating all pre and post-Close integration activities
◦ Liaise with MKHL leadership to define the strategic rationale, vision and guiding principles for the acquisition
◦ Coordinate the mobilization of key integration functional workstreams and sub-workstreams
◦ Evaluate targeted levels of integration (light touch to full integration) across the functional areas and geographies
◦ Support functional teams in developing detailed integration workplans, identifying cross functional dependencies and key milestones; coordinate the execution of workplans
◦ Guide integration teams in defining Pre Day 1, Day 1, Day 100, and Day720 day visions and enabling checklists
◦ Pre-Close activities include
# Supporting clean room and data request governance, planning and prioritizing short term integration priorities
# Partnering with the Corporate Development, Finance and Legal teams to support commercial due diligence activities
◦ Post-Close activities include planning and executing integration activities, transitioning key workstreams to BAU PMO processes.
◦ Build and roll out the appropriate mechanisms, tools, and templates to track and report actions, raise, assign, and mitigate risks and issues
◦ Facilitate the information flow across teams to proactively identify and mitigate risks
◦ Liaise with HR, Communications, and Investor Relations teams to support the development and execution of the integration communication plan across all key stakeholders (employees, customers, analysts, media, vendors etc.)
◦ Drive the coordination of the integration’s strategic roadmap, including key milestones
◦ Build materials for and facilitate recurring cross-functional meetings, Steering Committees, and any necessary ad hoc integration meetings
◦ Hold weekly reviews of status against plan with key functional integration teams
◦ Determine resource constraints (human capital or financial) that pose a risk to the successful execution of the integration roadmap
◦ As required - develop the methodology for functional teams to size, access, prioritize and measure synergies
◦ As required – develop schedules for Transition Services Agreements (TSAs)
