Summary
Based in the HP Inc. corporate headquarters in Palo Alto, CA, the Director, Corporate Development will support HP’s inorganic efforts on a global basis, including M&A, joint ventures, divestitures, and certain minority investments. This individual will lead inorganic transactions across HP’s Global Business Units - Print, Personal Systems, and 3D Printing – acting as a trusted advisor, working closely with senior leaders to establish M&A priorities, and driving deal execution. Reporting to the Head of Corporate Development, this individual will be part of a high performing team.
Key Responsibilities
• Drive all aspects of deal execution including researching and engaging with target companies, deal structure, valuation, business models and sensitivities, negotiation, integration planning, due diligence and risk analyses, and the deal approval process.
• Build strong relationships across HP Inc’s three business groups to develop inorganic blueprints and execution plans.
• Develop and manage deal pipeline with close collaboration with internal teams as well as external intermediaries (e.g. investment banks, advisors, etc.).
• Apply financial rigor and business acumen to all projects to help executives arrive at decisions that maximize shareholder value.
• Lead cross-functional diligence team to effective assess the risks and opportunities of a proposed HP investment across a wide variety of focus areas.
• Lead internal review process through the Investment Review Board, including approval discussions with C-level and Board representatives.
• Partner with M&A integration team to ensure successful transition from deal execution through value creation.
Additional Requirements
• University degree and MBA preferred
• 10 plus years’ experience, with at least 5 years in a transactional role
• Must have led all stages of deal execution individually and also served as a manager over-seeing deals being executed by team members
• Experience in an M&A or Corporate Development function in a large corporation desired, with relevant investment banking, consulting or private equity experience
• Flexibility to work extended hours and travel may be require on short notice
