External Job Description
The Business Development team is responsible for leading, directing and advising on business development projects such as new acquisitions, mergers, disposals, joint ventures and strategic partnerships.
Purpose of Role
Driving shareholder value by: identifying, pursuing, and executing inorganic opportunities against our core hunting grounds; monitoring, assessing and executing on Group-wide large-scale M&A opportunities; assessing and executing other tactical inorganic opportunities; actively managing the portfolio of Diageo brands and companies.
Dimensions
Financial
This role leads complex transactions in all categories above, with the support of an agile pool of L4/L5 managers. It is a commercial role that requires the role holder to have strong numerical and financial skills, in order to be able to:
• build and interrogate a business plan, identifying value drivers of any business and identify and run appropriate sensitivities
• value businesses appropriately and create deal structures which generate maximum value for Diageo and whilst addressing vendor requirements, understand the key measures of value for Diageo including EP, EPS accretion/dilution, DCF, NPV etc;
• structure transactions with input from tax, legal and treasury and manage the approval process
Strategic
The role holder will demonstrate strong strategic and commercial skills, and will be able to understand and articulate how BD opportunities promote the overall Diageo strategic ambition.
Market Complexity
The role holder will be required to navigate complex regulatory and commercial environments, supporting both single and regional market acquisitions and pan-regional opportunities.
Leadership Responsibilities
The role holder must be credible and persuasive with in-market exec teams, Regional Presidents and other Diageo executives with the ability to present views and recommendations confidently to the Exec, the Chairman and the PLC Board.
Top Accountabilities of the role
• Identify, pursue, and execute inorganic opportunities against our core hunting grounds, with a particular focus on the NAM market
• Monitor, assess and execute on other Group-wide large-scale/tactical M&A opportunities
• Develop relationships with targets, develop and test business plans, negotiation of valuation, key terms and key contractual parameters and protections
• Lead on portfolio management of Diageo brands and companies
• Develop wide-ranging relationships with industry stakeholders and experts, including investment banks, distributors, and entrepreneurs
• Prepare and present briefing materials to the Exec, Chairman, Diageo PLC Board and other senior stakeholders across the business
• Coach and oversee an agile team of L4/L5 managers as they lead simpler projects
• Support the Global Head of BD in the development and iteration of the inorganic strategy for Diageo PLC
Qualifications and experience required
• Degree level with strong academic record
• Qualified accountant is preferable but not essential
• M&A experience within industry or investment banking essential
• Strategy / Commercial experience is highly desirable
• Excellent project management skills working with cross-functional teams and demonstrable experience of establishing credibility, influencing and working at the highest management levels
• Highly analytical, strong commercial and financial knowledge required to drive key decisions
• Excellent leadership qualities, able to inspire and develop other team members
• Self-starter, positive attitude, high energy, high commitment, delivers against goals with minimal supervision
• Clear and succinct communicator, culturally aware and adaptable
• Able to lead and energise others through personal impact
