Responsibilities and Qualifications
The Senior Director, Ethics and Compliance will lead the development, implementation, management and sustainment of the Vista Ethics and Compliance Program across domestic and global operations and markets. General responsibilities include (1) maintain and promote an organizational culture that fosters ethical conduct and a commitment to legal, regulatory, Code of Business Ethics and policy compliance; (2) drive a culture of integrity through management, employees, and business partners; (3) conduct compliance audits, investigations, and disclosures; and (4) coordinate risk assessments, training and communications.
Primary Responsibilities:
• This position requires proactive day-to-day management of the global investigation process, the Compliance Hotline.
• Assign and coordinate investigations and ensure action plans are developed and executed in a timely manner. Help identify and facilitate compliance audits/monitoring.
• Create, coordinate and deploy Ethics & Compliance training programs through multiple avenues. Coordinate Ethics & Compliance training logistics, requirements and completion.
• Support the Enterprise Risk Management program. Probe and explore with the business the risk assessment process and support business in identifying and quantifying the risk exposure, coordinating risk mitigation actions and monitor business progress.
• Oversee third party due diligence efforts. Work with the business to address and resolve specific compliance issues, red flags, and requests.
• Conduct trend analysis, track and report case metrics (including intake, alleged violations, discipline, etc.) and summarize results for internal reporting purposes (monthly and quarterly)
• Develop the Conflict of Interest and Gift and Gratuity disclosure review program
• Provide support for periodic policy review and updates, including assisting with the development and implementation of compliance policies and procedures.
• Conduct and oversee time-sensitive, complex investigations of irregularities, fraud, corruption, trade, and/or other violations by analyzing and synthesizing fact patterns, developing and executing testing procedures; reviewing data for patterns and anomalies, conducting electronic reviews of information, developing questions for, conducting, and summarizing interviews with identified parties, identifying and documenting control deficiencies or weaknesses; partnering with key internal and external stakeholders; and providing regular and timely updates to key stakeholders on the progress of projects.
• Assist with the management of information governance to ensure compliance with regulatory requirements.
• Oversight of anti-corruption and trade compliance controls and programs, including leading projects to implement and improve controls and programs and act as liaison with Internal Audit for such audits.
• Monitoring industry, legal, regulatory and enforcement trends, and proactively consider new and innovative ways of doing things that meet the needs of internal and external customers.
• Overseeing, maintaining and innovating an effective compliance employee engagement and communication program for the organization, including heightening awareness among employees of compliance risks and policies, ensuring that employees speak up about integrity concerns, and aligning and educating organizations regarding current and emerging risks and trends.
• Managing the technology utilized in compliance operations; developing innovative approaches to using technology to maximizing the effectiveness of the compliance program; and working across functions to implement technological solutions.
Qualifications:
• Advanced Degree, with 15 years of professional work experience in the areas of ethics, compliance, investigations, trade, corruption, and diligence
• Highest level of integrity and ability to maintain confidentiality
• Experience conducting corporate internal investigations including intake, investigation, resolution and summary reports
• Exceptional interpersonal and communication skills and ability to work across multiple cultures are important. Ability to work under pressure with attention to detail
• Excellent written and verbal communication skills
• Strong organizational and analytical skills a must for success
• Demonstrated capacity to work and thrive in a fast-paced, multi-project, work environment
• Ability to work independently and use good judgment while also collaborating frequently horizontally and vertically
• Must be authorized to work in the United States.
• Experience should include Arms Export Control Act, Export Administration Regulations, Foreign Corrupt Practices Act, Federal Trade Regulations, amongst other regulations
